Service Scope / Consulting Agreement
This document describes the standard framework under which Moto Channel provides consulting services. It explains what our engagements typically include, how they are structured, and the responsibilities of each party. A signed proposal or statement of work, where one exists, takes precedence for the specific engagement it covers.
Services offered
Moto Channel offers advisory services that support entry into the United States market for motorcycle, powersports, and related vehicle and component brands. These services include market analysis, distributor search, dealer network development, regulatory guidance, DOT and NHTSA compliance guidance, pricing strategy, go-to-market strategy, and brand launch support. Services may be engaged individually or as part of a combined market entry project.
How an engagement is structured
A typical engagement follows these stages:
- Inquiry and initial consultation. We discuss your objectives, product, and current situation to understand whether and how we can help.
- Proposal or statement of work. We set out the scope, deliverables, fees, assumptions, and an estimated timeline.
- Delivery. We perform the agreed work, sharing progress and requesting information as needed.
- Hand-over. We provide the deliverables and, where included, a review session to walk through findings and recommendations.
What is included
Each engagement’s included items are defined in its proposal. Deliverables are typically provided as written reports, structured documents, models, or planning materials appropriate to the service. Unless stated otherwise, an engagement includes a reasonable opportunity to ask clarifying questions about the delivered work within an agreed period.
What is not included
Unless expressly stated in a proposal, our engagements do not include: certification, testing, or homologation; legal representation or legal opinions; tax or accounting services; filing of regulatory registrations on your behalf; ongoing management of distributors or dealers; guaranteed introductions; or any guarantee of sales or commercial outcomes. Work outside the agreed scope is handled as a separate or amended engagement.
Client obligations
To enable us to perform effectively, you agree to provide accurate and timely information, to make available the materials and points of contact we reasonably require, and to provide feedback within agreed timeframes. Delays in providing information or feedback may affect the timeline and, in some cases, the fees.
Assumptions and dependencies
Proposals are prepared on the basis of stated assumptions, such as the availability of information and the product class involved. If those assumptions prove materially different, the scope, timeline, or fees may need to be revisited by agreement.
Change requests
If you wish to expand or modify the scope of an engagement, we will assess the impact on deliverables, timeline, and fees and confirm any changes in writing before proceeding. No change to scope is binding until agreed by both parties.
Timelines
Timelines stated in a proposal are good-faith estimates based on the information available and on timely cooperation. They are not fixed deadlines unless expressly agreed as such. We will keep you informed of material changes to the schedule.
Independent relationship
We act as an independent contractor. Nothing in an engagement creates employment, agency, partnership, or joint-venture relationships between the parties, and neither party may bind the other except as expressly authorized in writing.
Confidentiality and intellectual property
Confidentiality and the ownership and licensing of deliverables are governed by our Terms and Conditions. In summary, each party protects the other’s confidential information, and you receive a license to use deliverables prepared for you while we retain our underlying methods and know-how.
Acceptance of deliverables
Deliverables are considered accepted upon delivery unless you raise specific, reasonable concerns within the period stated in your proposal. Where concerns relate to the agreed scope, we will work with you to address them. Requests beyond the agreed scope are handled as change requests.
Precedence
Where a signed proposal or statement of work conflicts with this document, the signed proposal or statement of work controls for that engagement. This document and our Terms and Conditions govern all other matters.
